Services Description
Globe Data Cloud Solutions provides technology consulting, cloud migration and management, data analytics and business intelligence, custom software development, cybersecurity advisory, and related technology services. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or service agreement executed between you and Globe Data Cloud Solutions. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to active clients. We will make commercially reasonable efforts to deliver services in a professional and timely manner consistent with industry standards.
Any software, platforms, or tools provided as part of our services are offered on an "as-is" and "as-available" basis unless otherwise specified in a written service agreement. While we strive to ensure reliability and uptime, we do not guarantee that our services will be uninterrupted, error-free, or free of harmful components. Service level commitments, where applicable, will be defined in the relevant service agreement.
Intellectual Property
All content, materials, software, designs, methodologies, frameworks, and documentation created by Globe Data Cloud Solutions, including those developed in the course of providing services to you, remain the exclusive intellectual property of Globe Data Cloud Solutions unless expressly assigned to you in a written agreement. You are granted a limited, non-exclusive, non-transferable license to use deliverables created specifically for you under an active service agreement, solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any of our proprietary materials without our prior written consent.
Confidentiality
Both parties acknowledge that in the course of the engagement, each party may receive or have access to confidential information of the other party. Confidential information includes, but is not limited to, business plans, technical data, trade secrets, client lists, financial information, and any other information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law or as necessary to perform obligations under the service agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, Globe Data Cloud Solutions and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our services or these Terms, regardless of the theory of liability. Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Globe Data Cloud Solutions during the twelve-month period immediately preceding the event giving rise to the claim. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.
Termination
Either party may terminate the service relationship by providing written notice in accordance with the terms specified in the applicable service agreement or Statement of Work. Globe Data Cloud Solutions reserves the right to suspend or terminate your access to our services immediately if you breach any provision of these Terms, fail to make timely payments, or engage in conduct that we reasonably determine to be harmful to our business, reputation, or other clients. Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Any provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property, confidentiality, limitation of liability, and governing law, shall survive.
Governing Law
These Terms and any disputes arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of the jurisdiction in which Globe Data Cloud Solutions is incorporated, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in that jurisdiction, and the parties hereby consent to personal jurisdiction and venue therein. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
